SWIFF's Terms
and Conditions of Prime Video Distribution

By distributing your film on Amazon Prime Video, you understand that it is your responsibility to promote your film so that viewers watch it on Amazon Prime Video.

Introduction

The Student World Impact Film Festival (SWIFF) is a film festival providing unique opportunities to filmmakers, including distribution on Amazon Prime Video. The Student World Impact Film Festival (SWIFF) is a program of THE LIGHTHOUSE INITIATIVE INC, a 501(c)(3) nonprofit organization incorporated in Delaware, USA, and which is referred to as "TLI" or "us" or "we" in this agreement. TLI is a distribution partner of Amazon Prime Video. TLI publishes films on Prime Video in an agreement with Amazon Prime Video. For TLI to send your film to Amazon, we will need:

  1. Content such as your film’s video file and information such as the synopsis
  2. You will need to agree to the terms of the contract that TLI has with Amazon Prime Video. That exact agreement is found in Section B
  3. You will need to agree to TLI's agreement terms

A. Terms with TLI

  • Purpose of this Agreement: The sole purpose of this agreement is for TLI to enable your film to be considered for distribution by Amazon on Amazon Prime Video. We enable your film to be considered by Amazon for distribution as we are an Amazon Prime Video distribution partner. After you complete this agreement, your film will be sent to Amazon Prime Video, and they will make the final decision whether or not your film will be published on Prime Video. Amazon has their own content guidelines, and it is possible that they will not approve your film. We cannot guarantee that your film will be accepted, and we are not involved with Amazon's decision on your film.
  • Success of Your Film on Prime Video: If your film is published on Prime Video, you are fully and solely responsible for marketing your movie so that viewers find and watch your film on Prime Video. Neither TLI nor Amazon Prime Video guarantee that audiences will watch your film (and generate you revenue) on Prime Video. Neither TLI nor Amazon are required to promote or market your film.
  • Prime Video Fee: There is a TLI processing fee of $49.99 US Dollars for us to securely submit your film to Amazon. This fee is paid at the time of signing this document. If Amazon does not publish your film, we will refund the fee to you (minus any transaction fees of about 3% that we incur that are not returnable to us by our payment provider)
  • Retaining Rights of Your Film: Read Amazon's agreement for the full details. Generally, if Amazon publishes your film, you will be agreeing to provide Amazon with a non-exclusive license to publish your film. This means that you retain the rights to your film, and that you can publish it elsewhere if you would like. Read Amazon's agreement for the full details.
  • Status of Your Film as a Premiere: Read Amazon's agreement for the full details. Generally, if your film is published on Prime Video, it will be available to rent/buy in the United States and/or the United Kingdom (you make this decision). A "premiere" can be defined in different ways, so you should make your own judgement on this and check with film festivals you submit to in the future.
  • Film Revenue Payments to You: TLI will collect and pay to you completely any revenue generated from your film that Amazon deposits to TLI (minus any transaction fee TLI has to incur with its payment provider). TLI will never take a commission of any of your film's revenues. Amazon takes a commission, however (check the Amazon agreement for details). When your film generates revenue for the first time, TLI will contact you by email to set up a way for you to get paid. TLI will pay you twice a year: on or around December 30 of each year and on or around June 30 of each year.
  • Timeline: When you sign this agreement, TLI will immediately begin the process of sending your film to Amazon Prime Video for consideration. TLI will complete the process of sending the film to Amazon within 2 weeks of you signing this document, and Amazon will then usually get back to us with your film's approval status within about 2-3 weeks (in rare cases, Amazon may take longer). This totals to a timeline of about 5 weeks or less.
  • Notice of Changes: As described in the Amazon agreement, if Amazon ever makes any changes to its agreement terms and notifies TLI, we will notify you by email.
  • Special Terminology in the Amazon Agreement: Any time in the Amazon distribution agreement where it refers to a "Dashboard" or "Program site" or "account" or similar terminology, this refers to the internal dashboard that TLI has access to when we distribute your film. While you do not have direct access to this internal dashboard, you can email us at any time (distribution@swiff.org) if you request changes to aspects of the distribution of your film that can be done via the dashboard.
  • Validity of this Agreement: This agreement takes effect immediately upon signing. TLI will proceed to submit your film to Amazon and work with you to resolve any concerns or issues that Amazon may have after reviewing your film. If, however, Amazon makes the final decision to reject the film, then any obligations under this agreement are no longer in effect.
  • Title Withdrawal: At any time, you can contact TLI to remove your film from Prime Video for any reason. Contact TLI by emailing distribution@swiff.org. If you request for your film to be removed from Prime Video, this agreement becomes void. You will still, however, receive any revenues owed to you (if any).
  • Duration: This agreement will be valid for 18 months from the date of the movie being approved and published on Amazon. At the end of this period, upon mutual agreement, the agreement may be renewed. If the agreement is not renewed, it will become void and your film will no longer be live on Prime Video. You will still, however, receive any revenues owed to you.

  • TLI Cannot Provide Legal Advice: Since TLI is not a law firm, we cannot provide legal advice to you regarding the distribution of your film.
  • B. Terms of the Amazon Prime Video Distribution Agreement

Read this agreement carefully to understand the exact terms and details of your film's distribution on Amazon Prime Video. By signing your agreement with TLI, you agree to be bound by the terms of Amazon Prime Video in the above-linked agreement.

    C. Indemnification

    You will indemnify, defend and hold harmless THE LIGHTHOUSE INITIATIVE INC., its officers, directors, employees, affiliates, subcontractors, successors and assignees, from and against any and all individual and/or third-party claims, actions, causes of action, demands, judgments, liabilities, damages, losses, injuries, costs and expenses (including, without limitation, reasonable attorneys’ fees and court costs) (individually, a “Claim”, and collectively, the “Claims”) brought against THE LIGHTHOUSE INITIATIVE INC. that arise from or relate to: (a) any breach or alleged breach by you of any of your representations, warranties or obligations set forth herein, including any failure to deliver closed captions, audio descriptions or ratings information for any Titles in compliance with applicable law; (b) THE LIGHTHOUSE INITIATIVE's exercise of the rights granted by you under this Agreement, including, without limitation, that such exercise violates any law or regulation or the right(s) of any third party; or (c) the Licensed Content, where used in accordance with the terms of this Agreement. You will not consent to the entry of a judgment or settle a Claim without our prior written consent, which may not be unreasonably withheld. You will use counsel reasonably satisfactory to us to defend each Claim. If we reasonably determine that a Claim might adversely affect us, we may take control of the defense at our expense (and without limiting your indemnification obligations).

    D. Limitation of Liability

    THE LIGHTHOUSE INITIATIVE INC. WILL NOT BE LIABLE TO YOU (AND/OR ANY AFFILIATES) FOR ANY LOST PROFITS OR CONSEQUENTIAL, INDIRECT, INCIDENTAL, PUNITIVE, EXEMPLARY OR SPECIAL DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THIS AGREEMENT, EVEN IF THE LIGHTHOUSE INITIATIVE INC. HAS BEEN ADVISED OR IS AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THE LIGHTHOUSE INITIATIVE INC. WILL NOT BE LIABLE TO YOU (AND/OR ANY AFFILIATE) FOR DAMAGES ARISING OUT OF OR IN ANY WAY RELATED TO THIS AGREEMENT, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR OTHER THEORY) OR OTHERWISE, FOR AN AGGREGATE AMOUNT IN EXCESS OF THE AMOUNT OF FEES DUE AND PAYABLE BY THE LIGHTHOUSE INITIATIVE INC. UNDER THIS AGREEMENT FOR THE TWELVE-MONTH PERIOD PRECEDING THE CLAIM. NOTWITHSTANDING THE FOREGOING, THIS SECTION WILL NOT BE DEEMED TO WAIVE ANY OF YOUR (AND/OR ANY AFFILIATE'S) RIGHTS AT LAW OR IN EQUITY TO ENFORCE THIS AGREEMENT WITH RESPECT TO UNDISPUTED LICENSE FEE PAYMENTS DUE TO YOU (AND/OR ANY AFFILIATE) BY THE LIGHTHOUSE INITIATIVE INC HEREUNDER. THE SERVICE IS MADE AVAILABLE BY AMAZON PRIME VIDEO ON AN AS IS BASIS AND THE LIGHTHOUSE INITIATIVE INC MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE SERVICE BY AMAZON PRIME VIDEO, INCLUDING WITHOUT LIMITATION, (I) THAT THE SERVICE WILL ALWAYS BE AVAILABLE, ACCESSIBLE, OR OPERATE WITHOUT ERROR OR (II) AS TO THE VOLUME OF SALES OR LICENSE FEES THAT WILL BE GENERATED BY LICENSED CONTENT ON THE SERVICE. TO THE EXTENT REQUIRED BY LAW IN THE RELEVANT JURISDICTION OF THE PARTIES, THE PARTIES DO NOT EXCLUDE OR LIMIT LIABILITY FOR DEATH OR PERSONAL INJURY, FRAUDULENT MISREPRESENTATION OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED BY SUCH APPLICABLE LAW.

    E. Confidentiality

    You will not, without our express, prior written permission: (a) issue any press release, media pitch or make any other public disclosures regarding this Agreement or its terms; (b) disclose TLI Confidential Information (as defined below) to any third party or to any employee other than an employee who needs to know the information; or (c) use TLI Confidential Information for any purpose other than the performance of this Agreement. You may however disclose TLI Confidential Information as required to comply with applicable law. “TLI Confidential Information” means (1) any information regarding TLI, its affiliates, and their businesses, including, without limitation, information relating to our technology, customers, business plans, promotional and marketing activities, finances and other business affairs, (2) the nature, content and existence of any communications between you and us, and (3) any sales data relating to the sale of digital videos or other information we provide or make available to you in connection with this Agreement. TLI Confidential Information does not include information that (A) is or becomes publicly available without breach of this Agreement, (B) you can show by documentation to have been known to you at the time you receive it from us, (C) you receive from a third party who did not acquire or disclose such information by a wrongful or tortious act, or (D) you can show by documentation that you have independently developed without reference to any TLI Confidential Information. Without limiting the survivability of any other provision of this Agreement, this Section will survive three years following the termination of this Agreement.
